VILLA ALDORA: GUEST RENTAL AGREEMENT & TERMS AND CONDITIONS
Here at Villa Aldora, we have created a waterfront paradise for our guests to enjoy — a true diving haven and a home away from home where lifelong memories are made. Our goal is to provide a warm, welcoming, and safe environment so you can fully experience the beauty of Cozumel’s Caribbean waters, the reef just steps from our shore, and the relaxed atmosphere of our property.
This Guest Rental Agreement & Terms and Conditions (the “Agreement”) helps us protect that experience for everyone. It is entered into between Villa Aldora (the “Property,” “Owner,” “we,” “us,” or “our”), and the individual making the reservation together with all members of their party (collectively the “Guest,” “you,” or “your”), including every family member, friend, travel companion, invitee, or other person who stays at, visits, or uses the Property during the reserved period.
By confirming a reservation, clicking “I Agree,” “Book Now,” or any similar button, checking in, or allowing any person to stay at or use the Property, the person making the reservation confirms and represents:
“I confirm that I have informed every guest staying with me under this reservation of this Agreement, and confirm that they have read and agree to the terms of this document themselves.”
This electronic or in-person acceptance constitutes a legally binding contract for the person making the reservation and is intended to bind every member of the party.
Villa Aldora reserves the right to deny, cancel, or refuse any reservation for any reason, at its sole discretion, consistent with applicable law.
1. Payment Terms
Villa Aldora operates strictly on a cash-only basis.
Cash Only: Payment must be made in cash. No credit cards, checks, or alternative payment methods are accepted under any circumstances.
Timing: The total cash payment for the reservation must be collected in full upon arrival to the property during the check-in process.
Failure to render full cash payment as required during check-in will result in the immediate cancellation of the reservation without access to the property.
2. Cancellation, Changes & Early Departure
Cancellations made within 25 days of the scheduled arrival date will incur a $250 cancellation fee. Exceptions may be considered on a case-by-case basis at the sole discretion of Villa Aldora management. All cancellation requests must be submitted in writing via email.
No-shows are entirely non-refundable.
Early departures may be eligible for a partial refund and will be reviewed on a case-by-case basis by Villa Aldora staff. No refunds will be issued for early departure resulting from the removal of a Guest under Section 6 or for any failure to comply with this Agreement.
3. Check-In / Check-Out & Occupancy
Check-in and check-out times will be as stated in the reservation confirmation or as otherwise communicated by management. Maximum occupancy is strictly limited to the number of persons stated in the reservation. Exceeding the maximum occupancy is grounds for immediate removal from the property without a refund
4. Assumption of Risk, Release of Liability, Waiver & Indemnification
THIS IS THE MOST IMPORTANT SECTION OF THIS AGREEMENT. PLEASE READ IT CAREFULLY
Villa Aldora is a waterfront property featuring direct beach access, an infinity pool, coral reef access, stairs, walkways, docks, wet surfaces, and close proximity to the open ocean. While we work hard to maintain a beautiful and enjoyable setting, use of the Property and its amenities involves inherent, open, and obvious risks of serious injury, illness, or death. Every Guest voluntarily assumes all risks associated with, without limitation:
Use of the pool, beach, ocean, stairs, docks, walkways, and all recreational amenities.
Swimming, snorkeling, scuba diving, and any water-related activities.
Ocean conditions, changing currents, marine life, sharp coral, and underwater hazards.
Slipping, tripping, falling, or any injury occurring on stairs, wet surfaces, walkways, or any portion of the Property.
Any injury of any kind occurring during the stay.
Anti-slip measures have been incorporated into the property layout, including textured stair steps and guard rails that meet applicable safety standards. Despite these operational measures, the risk of slipping, tripping, or falling remains.
Every Guest accepts responsibility for navigating the property with care. Clear signage is posted stating “Swim at Your Own Risk.” By staying at or using the Property and its amenities, every Guest acknowledges and accepts this warning. Every Guest further assumes all risks related to personal medical conditions or injuries arising during the stay, including but not limited to:
Pre-existing medical conditions or sudden medical emergencies.
Physical injury of any kind sustained on or near the waterfront.
Incidents related to water activities or the natural environment.
RELEASE AND WAIVER
To the maximum extent permitted by applicable law, every Guest hereby fully releases, waives, discharges, and forever holds harmless Villa Aldora, its owners, managers, employees, agents, and affiliates from any and all claims, demands, causes of action, lawsuits, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the stay, any injury, illness, or medical event, whether caused by the negligence of Villa Aldora or otherwise
Villa Aldora shall have no liability whatsoever to any Guest (or their estate, heirs, family, or legal representatives) for any injury, illness, or medical condition arising during or related to the stay. Every Guest expressly waives the right to bring any lawsuit or legal action against Villa Aldora or its owners related to the foregoing, to the fullest extent permitted by law.
INDEMNIFICATION
The person making the reservation and every member of the party jointly and severally agree to indemnify, defend, and hold harmless Villa Aldora, its owners, managers, employees, agents, and affiliates from and against any and all claims, demands, lawsuits, damages, losses, costs, and expenses (including reasonable attorneys’ fees) brought by any Guest, family member, travel companion, estate, or any third party arising out of or related to the stay, any medical condition, injury, or illness while on the Property, or any breach of this Agreement.
ATTORNEYS’ FEES
In the event that any legal action, arbitration, or lawsuit is brought by either party to enforce or interpret the terms of this Agreement, or arises out of the Guest’s stay at Villa Aldora, the prevailing party in such action shall be entitled to recover from the non-prevailing party all reasonable attorneys’ fees, court costs, and expenses of legal representation incurred at all trial and appellate levels.
Recommendation: Guests are encouraged to obtain comprehensive travel, medical, and trip-cancellation insurance prior to travel for greater peace of mind.
5. Property Damage & Guest Responsibility
The booking guest and all members of the party are jointly and severally responsible for any damage, loss, or excessive cleaning required as a result of their occupancy (beyond normal wear and tear). Payment for any such repair or cleaning costs must be made immediately in cash. A cash security deposit may be required at management’s sole discretion during check-in and may be applied directly against any amounts owed.
6. House Rules & Right to Remove Guests
We ask all guests to help keep Villa Aldora a welcoming, peaceful environment:
Quiet enjoyment of other guests must be respected at all times.
No parties, commercial gatherings, or large events are permitted without prior written approval.
Smoking is strictly prohibited indoors.
Pets are not permitted unless expressly approved in writing in advance.
Maximum occupancy listed on the reservation must not be exceeded.
All Guests must follow all posted safety rules regarding the pool, beach, stairs, and water access, including the “Swim at Your Own Risk” signage.
Minors must be actively accompanied and supervised by a responsible adult at all times. [1]
Villa Aldora reserves the right to remove any unruly, disruptive, intoxicated, non-compliant, or otherwise objectionable person from the Property at any time, in accordance with local regulations, without a refund.
7. Governing Law and Severability
Jurisdiction and Venue: This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal action, lawsuit, or proceeding arising out of or relating to this agreement or the guest's stay must be filed exclusively in the state or federal courts located in Galveston County, Texas. The Guest hereby consents to the personal jurisdiction of such courts.
Severability: If any term, clause, or provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause, or provision, and the remaining provisions shall remain in full force and effect.
